TERMS AND CONDITIONS – GENERAL PROVISIONS FOR OUTRADE:

These Terms and Conditions (“Terms”) describe in full the conditions under which you may access and use Outrade and its Services. You must accept these Terms without restriction, qualification, or objection before using any Service provided by Outrade. By accessing, registering on, or continuing to use Outrade, you confirm that you have read, understood, and unconditionally accepted these Terms in their entirety, including all provisions expressly stated herein and those incorporated by reference. Continued use of the Services constitutes binding acceptance, regardless of whether you review all provisions in detail. These Terms were published and last updated on the date indicated on Outrade. You are advised to retain a copy for your records.

Scope of Services

These Terms govern the entire scope of Services provided by Outrade, including but not limited to:
• Use of Outrade’s website and applications
• Digital asset (cryptocurrency) trading facilitation
• Automated trading and copy trading features
• Market data, analytics, pricing information, and reports
• Downloadable materials and published financial information
• Communications between Outrade and users
• Any additional features, tools, or services introduced in the future
These Terms apply to all forms of interaction and communication between you and Outrade, including electronic, written, telephonic, or other agreed methods.

Tax and Pre-Withdrawal Obligations
All applicable obligations, including taxes, brokerage fees, withdrawal fees, and any other charges, must be fully cleared and settled before any withdrawal request can be processed or executed, in accordance with Outrade’s fee and withdrawal provisions set out below.
This requirement exists to ensure operational integrity, transparency, and risk management in all payouts processed by Outrade.

Copy Trading and Automated Trading Services
By using Outrade’s Copy Trading or Automated Trading services, you acknowledge and agree that you are accessing a technology-enabled execution and facilitation service, not a personalized investment advisory service.
Before granting access to such features, Outrade may request information to perform an internal risk classification or usage assessment. This process is conducted solely to:
• Determine feature availability
• Apply internal risk controls
• Manage operational exposure
This assessment:
• Does not constitute investment advice
• Does not represent a regulated suitability determination
• Is based entirely on information provided by you
You confirm that all information submitted is truthful, accurate, and complete, and you acknowledge that Outrade may rely on such information for operational purposes.

No Investment Advice or Guaranteed Outcomes
While Outrade may, in certain jurisdictions, be permitted to offer advisory services, no investment advice is provided under these Terms, unless expressly stated in writing and accepted separately.
Outrade:
• Does not provide personalized investment recommendations
• Does not guarantee profits, returns, or capital preservation
• Does not share or reimburse trading losses
All trading activity involves substantial risk, and outcomes may include partial or total loss of digital assets.

Fees and Charges
Outrade does not charge advisory or management fees.
All charges payable by users are limited to those expressly disclosed in these Terms, including but not limited to brokerage fees, withdrawal fees, early withdrawal fees, and other operational charges, as detailed in the sections that follow.
Settlement of applicable fees is a condition precedent to withdrawal, and detailed fee structures, payment requirements, and enforcement mechanisms are set out in the subsequent provisions of these Terms.

TERMS AND CONDITIONS – BROKAGE, TRADING & WITHDRAWAL FEES.

Scope and Applicability
These Terms govern all accounts that engage in digital asset (cryptocurrency) trading, custody, liquidity provision, market-making, or managed execution through Outrade.
They apply irrespective of:
• User location or nationality
• Regulatory classification of the user
• Whether the account is self-directed or managed
• Whether assets are fiat-backed, crypto-native, or stablecoin-denominated
Outrade operates under a technology and execution services model and does not guarantee profits, returns, or liquidity at any time.

Nature of Crypto Brokerage Fees
Crypto markets impose structurally higher operational risks than traditional finance, including but not limited to:
• Extreme volatility and sudden illiquidity
• Blockchain settlement risk and confirmation delays
• Exchange counterparty exposure
• Slippage and price impact during large-volume execution
• Smart contract, custody, and wallet security costs
Accordingly, a Brokerage Fee is charged to compensate for:
• Trade execution and routing
• Liquidity sourcing and aggregation
• Risk management and hedging activities
• Custodial handling and settlement
• Infrastructure, monitoring, and compliance processes
Standard Brokerage Fee
• 8% of the withdrawable balance
• Calculated at the point of withdrawal or account settlement
This fee reflects cumulative services rendered across the trading lifecycle and is not transaction-specific.

Withdrawal Fees and Mandatory Pre-Settlement
All withdrawals of digital assets or fiat equivalents are subject to a mandatory Withdrawal Fee, payable prior to fund release.
Withdrawal processing involves:
• Position closure or netting
• Liquidity unwinding
• Blockchain or banking settlement
• Exposure to market movement during processing
No withdrawal request will be executed unless all applicable fees are fully settled.
Outrade does not process partial withdrawals designed to circumvent fee obligations.

Combined Fee Structure (Brokerage + Withdrawal)
For clarity and enforcement:
• Brokerage fees and withdrawal fees may be assessed as a single settlement obligation.
• All applicable fees must be paid and fully settled by the user before any digital assets or fiat equivalent are released, transferred, or instructed to leave Outrade’s control.
• Where any applicable fee remains outstanding, the account shall be temporarily restricted from withdrawal or transfer functions only and shall not be liquidated solely for non-payment of fees.
This structure ensures:
• No unpaid execution, settlement, or liquidity exposure remains
• Fair and consistent cost allocation among participants
• Operational continuity during periods of heightened market volatility

Early Withdrawal Provisions
Crypto trading strategies—particularly those involving market-making, liquidity provision, or whale-sized execution—are designed around defined trading cycles.
An Early Withdrawal disrupts:
• Liquidity positioning
• Hedging structures
• Counterparty exposure management
Early Withdrawal Fee:
• 15% of the withdrawable balance
This elevated fee reflects:
• Forced position liquidation
• Increased slippage and adverse pricing
• Additional operational and risk costs
Early withdrawal fees apply regardless of profitability and are not penalties, but compensation for measurable platform exposure.

Market-Making & Whale Trading Accounts
Accounts involved in:
• Large-volume trades
• Liquidity pools
• Arbitrage strategies
• Market-impact execution
Operate under heightened risk and capital requirements.
For such accounts:
• Brokerage and withdrawal fees may be strictly enforced
• Withdrawal timelines may be extended to ensure orderly unwinding
• Additional risk-based adjustments may apply
Users acknowledge that immediate liquidity is incompatible with whale-level trading.

Referral-Based Fee Adjustments
Outrade may offer referral-based incentives at its discretion.
Referral Fee Reduction
• Eligible referrals may reduce applicable fees by up to 3%
• Standard fee (8%) → 5% after referral adjustment
• Early withdrawal fee (15%) → 12% after referral adjustment
Important:
• Referral reductions do not eliminate fees
• Discounts apply only where referral conditions are met and verified
• Referral incentives may be revoked for abuse, self-referral, or manipulation
Referral benefits are commercial incentives, not contractual rights.

Taxes, Duties, and User Responsibility
All fees are exclusive of taxes, levies, or statutory charges.
Users remain solely responsible for:
• Capital gains taxes
• Income taxes
• Crypto-specific reporting obligations
Outrade:
• Does not provide tax advice
• Does not withhold taxes unless legally required

Regulatory Positioning & Risk Disclosure
Outrade:
• Does not operate as a bank or deposit-taking institution
• Does not provide regulated investment advice
• Acts as a technology-enabled execution and facilitation service
Nothing herein constitutes:
• A promise of returns
• A guarantee of liquidity
• A fiduciary obligation
Users participate at their own risk and acknowledge the speculative nature of digital assets.

Amendments, Discretion, and Final Authority
Outrade reserves the right to:
• Adjust fee structures in response to market or regulatory changes
• Delay withdrawals to manage systemic risk
• Interpret these Terms in good faith
No amendment will retroactively affect already-settled withdrawals.

Fee Payment Window and Accepted Methods
All applicable brokerage and withdrawal fees must be paid and fully settled within the timeframe specified by Outrade following a withdrawal request.
• Fees may be payable via approved on-chain digital asset transfer, off-chain settlement, stablecoin payment, or other methods expressly designated by Outrade.
• Outrade may refuse or delay processing where payment is made using an unsupported network, asset, or method.
• Payment is deemed complete only upon confirmed receipt and settlement, including required blockchain confirmations or banking clearance.
Failure to settle applicable fees within the specified window may result in:
• Continued withdrawal restriction
• Administrative suspension of the withdrawal request
• Reassessment of applicable fees where market conditions materially change

Good-Faith Dispute and Withdrawal Freeze
Where a user raises a dispute concerning brokerage or withdrawal fees:
• The dispute must be submitted in good faith and in writing, with reasonable supporting information.
• No withdrawal shall be processed while the dispute remains unresolved, and no obligation to release assets arises during such period.
• Outrade may continue to manage risk, including maintaining or adjusting positions where required for market or operational stability.
Disputes raised for the purpose of delaying payment, avoiding fees, or exerting pressure on Outrade shall be deemed bad-faith disputes and may result in:
• Immediate withdrawal suspension
• Forfeiture of referral-based fee reductions
• Termination of referral privileges

No Set-Off, Counterclaim, or Conditional Payment
All brokerage and withdrawal fees are payable in full and without set-off, deduction, counterclaim, or conditionality.
Users may not:
• Withhold fees pending disputes
• Offset fees against alleged profits, losses, or damages
• Condition payment on the release of assets
Payment of fees does not constitute a waiver of the user’s right to pursue a dispute after settlement, but fee settlement remains a condition precedent to withdrawal.

Governing Law, Regulatory Positioning, and Venue
This Agreement shall be governed by and construed in accordance with the laws of the applicable operating entity’s jurisdiction, as disclosed on Outrade, excluding conflict-of-law principles.
• Where the operating entity is established in the United Kingdom, disputes shall be governed by English law and subject to the exclusive jurisdiction of the courts of England and Wales.
• Where the operating entity is established offshore, disputes shall be governed by the laws of the relevant offshore jurisdiction, with venue determined by Outrade’s registered entity.
Nothing in these Terms shall be construed as:
• Submission to regulatory oversight beyond what is legally required
• A representation that Outrade is regulated, licensed, or authorized in all jurisdictions
• An offer of regulated financial services where such authorization is required
Users access Outrade on a cross-border basis and are responsible for determining the legality of their participation under local laws.

Consumer Transparency and Risk Acknowledgment
By using Outrade, users expressly acknowledge that:
• Digital asset markets are volatile, illiquid, and speculative
• Brokerage and withdrawal fees are commercially necessary and risk-based, not arbitrary
• Early withdrawal fees reflect measurable operational and liquidity costs
• Referral-based fee reductions are discretionary incentives, not entitlements
Users confirm that they:
• Have read and understood the fee structure
• Accept that fee settlement is a condition precedent to withdrawal
• Do not rely on representations outside these Terms
This acknowledgment is intended to meet fair disclosure and consumer clarity standards, without creating fiduciary or advisory obligations.
